CONSULTANCY CONTRACT
This Consultancy Contract is made and entered into on Friday, 07 February 2025 by and between:
Ubani Trust ("Client") Shauri Moyo Baptist Church, Ahero Street
AND

1. Scope of Work
1.1 Services: The Service provider agrees to provide private tutoring services to the beneficiaries of the Client as outlined in the attached Schedule A (Scope of Work) attached hereto and incorporated herein by reference.
1.2 Duration: This Contract shall commence on Monday, 10 February 2025 and be reviewed after every school term (12 weeks), unless terminated earlier in accordance with the provisions of this Contract.
2. Service provider's Obligations
2.1 Performance: The Service provider agrees to perform the outlined services of providing tutoring services with the highest professional standards and in compliance with all applicable laws and regulations of TSC by:
- Ensuring the Tutors possess a valid teaching certificate appropriate for the age and grade level of the students.
- Scheduling to meet with the Ubani Trust team twice a month for feedback and consultation.
- Ensuring the Tutor prepares adequately for each lesson.
- As stipulated in the non-disclosure agreement (Annexed), the Tutor maintains confidentiality regarding student information.
- The Tutor conducts lessons in person unless otherwise arranged.
2.2 Reporting: The Service provider shall provide monthly progress reports of the beneficiaries, detailing the tutoring sessions and the progress of the beneficiaries.
2.3 Confidentiality: The Service provider agrees to maintain the confidentiality of all information related to the Client and the beneficiaries, both during and after the term of this Contract as stipulated in the Non-disclosure agreement. (Annexed)
2.4 Protection and Safeguarding: The 2010 Constitution of Kenya (Article 53) recognizes the right of all children to be protected from abuse, neglect, harmful cultural practices, all forms of violence, inhumane treatment and punishment, and hazardous exploitative labor. The Service provider agrees to uphold this legal requirement as stipulated in the Ubani Safeguarding policy, (Annexed)
3. Client's Obligations
3.1 Support: The Client shall provide the Service provider with all necessary support, information, and access to facilities required for the performance of the services by:
- Ensuring students attend all scheduled lessons.
- Ensuring students complete assignments as given in a timely manner.
- Ensuring students have materials and equipment needed for efficient learning.
4. Fees and Payment
4.1 Fees: The Client agrees to pay the Service provider a total fee of Ksh. 322,200 per term for the services provided under this Contract.
4.2 Payment Schedule: Payments shall be made in installments, as specified in Schedule B (Payment Terms) attached hereto and incorporated herein by reference.
5. Termination
5.1 Termination for Convenience: Either party may terminate this Contract at any time by providing 60 days written notice to the other party.
5.2 Termination for Cause: Either party may terminate this Contract immediately if the other party breaches any material term of this Contract.
6. Governing Law
6.1 This Contract shall be governed by and construed in accordance with the laws of Kenya under the Ministry of Education.
7. Entire Agreement
7.1 This Contract constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral, relating to the subject matter of this Contract.
8. Amendments
8.1 This Contract may only be amended or modified in writing, signed by both parties.

Schedule A (Scope of Work)
Objective: To provide personalized and effective tutoring services to the beneficiaries of Ubani Trust, enhancing their academic performance and overall development.
1. Tutoring Sessions:
- 36 lessons per week.
- Each lesson will last one hour.
- Classes start from 9:30 AM to 4:00 PM with a lunch break between 1:00 PM - 2:00 PM.
- Lessons will be conducted in person at the Shelter/home in Ngong.
- Extra classes for students requiring additional support will be held from 4:00 PM to 5:00 PM daily.

- French (Form 2)
- Home Science (Form 4)
A) Methodology:
- Interactive Teaching Methods: Tutors will employ interactive and engaging teaching methods, including hands-on activities, discussions, and multimedia resources to enhance learning and retention.
- Progress Monitoring: Regular assessments will be provided to track the academic growth of each beneficiary and adjust the learning plans as needed.
B) Support Services:
- Exam preparation: Specialized sessions will be conducted to prepare beneficiaries for exams, including practice tests and review of key concepts.
- Mentorship: Tutors will also serve as mentors, offering guidance and support to help beneficiaries develop study skills, time management, and a positive attitude towards learning.
C) Expected Outcomes:
- Improved academic performance: Beneficiaries to demonstrate improved grades and a better understanding of the subjects covered.
- Holistic development: The tutoring will contribute to the overall development of the Beneficiaries, including their cognitive, emotional, and social growth.
- Enhanced confidence: Beneficiaries will gain confidence in their academic abilities and develop a positive attitude towards learning.
Schedule B (Payment Terms)
1. Total Fee: Ksh. 322,200.00 per term
Term Breakdown:
- Term duration: 12 weeks
- Lessons per week: 36
- Cost per lesson: Ksh. 800
- Cost per day: Ksh. 5,760
- Cost per week: Ksh. 28,800
- Bi-weekly cost: Ksh. 57,600
- Monthly cost: Ksh. 115,200
- Service charge: Ksh. 15,000
2. Payment Schedule:
- Ksh. 15,000 - Payable at the beginning of the term at the commencement of classes.
- Ksh. 57,600 - Payable bi-weekly and is subject to the number of lessons taught.
3. Additional Costs:
- The client shall be responsible for additional costs, including but not limited to examination fees, external resources, laboratory access, and student transportation to learning venue(s).
